Introduction
This Statement of
Work, in conjunction with the attached signedattached Professional
Services Agreement 902225,
comprises the total agreement for the described
level of effort. Upon execution of this statement, Computer AssociatesCA Global
Professional Services (GPS)Services
will provide the technical services in the time frame described in the Period
of Performance.
If there are any
unforeseen delays in the execution of these documents, the Scope, Statement of Work,
and/or Period of Performance may be adjusted based on mutually agreed upon
terms between GPSCA Services
and Emerson Power Transmission CorporationTransamerica
Business Technologies Corp.
Until executed by Emerson
Power Transmission CorporationTransamerica
Business Technologies Corp. and received by GPSCA
Services, this statement
shall act as a quotation for services whose term will expire thirty (30) days
from the date provided above. Any extensions to this term must be made in
writing by GPSCA Services.

hereby acknowledges that the terms of this Statement of Work are personal to Emerson
Power Transmission CorporationTransamerica
Business Technologies Corp. and highly confidential. Emerson Power Transmission
CorporationTransamerica Business Technologies Corp.
hereby agrees that it shall not disclose any of the terms of this Statement of
Work (including, without limitation, the terms relating to pricing and
authorized use) to any person or entity other than Emerson
Power Transmission CorporationTransamerica
Business Technologies Corp.’s contractors,
employees, auditors, and attorneys who have a need to know such information in
connection with their performance of services for Emerson
Power Transmission CorporationTransamerica
Business Technologies Corp. and who have
agreed with Emerson Power Transmission CorporationTransamerica
Business Technologies Corp. to maintain the
confidentiality of this Statement of Work.
In
the event that Emerson Power Transmission CorporationTransamerica
Business Technologies Corp. is a licensee of
CA software requiring routine support and maintenance services, the services
described and to be provided as part of this Statement of Work supporting
implementation of such software shall not address, and shall not be interpreted
to include, any of such support and maintenance services which CA routinely
provides as part of its software warranty under an Order Form and License
Agreement. Should Emerson Power Transmission CorporationTransamerica
Business Technologies Corp. request that CA
provide on-site or other services as part of support and maintenance, CA's
agreement to provide such on-site services shall depend upon, and only be made
available to Emerson Power Transmission CorporationTransamerica
Business Technologies Corp. under, a separate
Statement of Work and for an additional payment based upon the description of
the services to be performed.
This Statement of Work will cover 4 separate tasks
that are to be executed in succession and are described below.This objective
of this service offering is to enact a software upgrade of many
CA system products in coordination
with parallel efforts to upgrade the Operating System.statement
of work will be broken down into three phases. The
first Pphase one will be a complete
planning phase
ffor the
upgrade of the CA software products. Phase twoThe
second phase
will be to upgrade the product
in the Test LPAR. The third phase will be to migrate roll out the upgraded products to each
of the two production systemsLPARs:
(TCFCSYSA
and, SYSBTRFES).
TASKPhase 1
The
objective of TASK 1 is to ensure CA-7 Workstation is installed at
optimal settings and configured to utilize the product’s capabilities in the
most efficient manor. CA GPS will
assist with the installation of three (3) CA-7 WorkstationsPhase 1
is to develop a project plan that details the product upgrade tasks
and ,
testing and roll out plans to the production LPAR. This phase will establish timelines and product
priorities. During this phase the user exits and current product implementation will be examined to
identify unique processing requirements that will need to be considered during
the upgrade of each product. This
phase will also provide to
XYZTransamerica
Business Technologies
Corp.. some knowledge transfer on the new features and
functions of the recommended product levels that
available.
CA Services will provide
a Project Manager with MVS system programming skills and a Sr. Consultant to
review
the existing environment and develop the installation and migration plans for
the CA software products. The following table identifies the software and current
release levels installed in the test and production LPARs along with the recommended level to upgrade to.
